Job Description

Vistas Global is seeking an experienced Contract Manager to oversee all contract-related aspects for our holding company and its subsidiaries. The successful candidate will be responsible for safeguarding the company’s reputation by ensuring compliance with all regulatory guidelines and managing legal matters, including contracts, frameworks, and disputes. The role will also involve overseeing mergers and acquisitions (M&A) and due diligence processes. A key focus will be on contract law based on FIDIC or JCT, with regional experience in administering or defending contracts and sub-contracts in construction and engineering. Additional experience in technology, service contracts, and labor contracts will be highly valued.

Key Responsibilities:

Legal Advice and Counseling:

Provide timely and strategic legal advice to the company’s leadership team on a broad range of legal issues.

Analyze and interpret laws, regulations, and policies affecting the organization.

Contract Drafting and Review:

Draft, review, and negotiate a variety of contracts, including vendor agreements, employment contracts, and commercial leases.

Ensure that contracts align with the company’s policies and protect its interests.

Claims Management and Dispute Resolution:

Manage claims related to construction contracts and engage in arbitration as needed.

Oversee the resolution of disputes and ensure the company’s rights and interests are protected.

Mergers and Acquisitions (M&A):

Oversee the legal aspects of M&A activities, including due diligence and negotiation of acquisition agreements.

Ensure compliance with legal and regulatory requirements during M&A transactions.

Regulatory Compliance:

Ensure that the company adheres to all relevant legal standards and regulations.

Stay updated on changes in laws and regulations that could impact the company’s operations.

Requirements:

Mandatory Skills:

Strong background in construction law with specific experience in FIDIC, JCT, claim management, and arbitration.

Minimum of 10-15 years of experience in contract management, particularly in the construction industry.

Proven experience in building construction and handling complex legal matters.

Additional Skills:

Experience in technology, service contracts, and labor contracts is a plus.

Strong knowledge of claim management and dispute resolution.

Excellent communication, negotiation, and analytical skills.
